About The Role

Hightouch is seeking an Associate Commercial Counsel to help protect and accelerate our business. Working with our Senior Counsel, you’ll partner closely with our sales team to negotiate with our potential clients on commercial agreements.

In this role, we estimate that you’ll spend 70% of your time working with potential customers in negotiations (primarily MSAs and DPAs), 20% of your time collaborating internally with our sales teams on strategy and negotiation tactics, and 10% of your time working on tertiary legal paperwork (e.g. MNDAs and RFPs). You will negotiate both Hightouch paper deals as well as deals on prospect paper.

What You’ll Do

  • Draft and negotiate a broad range of agreements (including Terms of Service, Master Subscription Agreements, and Data Processing Addendums) with a primary focus of supporting the licensing of Hightouch's products and services.
  • Provide day-to-day commercial legal support and advice to the sales organization.
  • Collaborate closely with Sales, Operations, and Finance teams to shepherd deals to completion.
  • Facilitate the timely closure of business transactions while minimizing risk exposure.
  • Manage and resolve legal issues and contract interpretation matters that arise in existing commercial relationships.
  • Proactively establish strong relationships with internal clients (e.g., sales, engineering, customer success) and enhance legal knowledge throughout the Hightouch team.

What We're Looking For

  • 1-3 years of post-law school experience at a law firm or in-house role that challenged and pushed you.
  • The ability to explain complex legal concepts to non-attorney stakeholders and convert legalese to plain English.
  • Exceptional organizational and time management skills.
  • Demonstrated history of developing strong working relationships with Sales, Finance, Engineering, or other comparable key stakeholders.
  • Interest in the novel and the routine portions of the practice of law, and the ability to excel in executing both.
  • Experience delicately and successfully balancing the requirements of the law with risk analysis and mitigation.
  • Member in good standing of a US state bar association (NY or CA preferred).

Bonus If You Have

  • Experience working with a Contract Lifecycle Management system like Ironclad or Linksquares.
  • Working knowledge or an academic background that provided deep understanding GDPR, CCPA, and other global privacy regulations.
  • A passion for continuous improvement and excellence and patience with the process to get there.


The salary range for this position is $115,000 - $130,000 USD per year, which is location independent in accordance with our remote-first policy. We also offer meaningful equity compensation in the form of ISO options, and offer early exercise and a 10 year post-termination exercise window.
