Position Overview

The Head of Legal & Compliance serves as the legal advisor to Blockdaemon, overseeing all global legal, regulatory, and compliance matters and managing the legal function. The role works closely with the executive leadership team and board to guide the company through the rapidly evolving regulatory landscape surrounding blockchain, cryptocurrency, and decentralized finance (DeFi). Key responsibilities include corporate governance, complex commercial contracting, equity administration, and cross-border regulatory strategy. The position requires balancing legal risk management with pragmatic, business-focused solutions that support scalable growth, enable product innovation, and reinforce Blockdaemon’s position as a trusted leader in blockchain infrastructure.

Your Impact

  • Legal Strategy & Leadership: Provide proactive legal counsel to the executive team on all matters related to the company’s operations, balancing legal risk with practical business objectives.

  • Regulatory Compliance: Oversee global compliance with applicable laws and regulations, particularly those related to blockchain infrastructure, digital assets, tokenization, sanctions/AML, securities law, and financial services. Apply deep regulatory knowledge pragmatically to support innovation while mitigating risk.

  • Contract Management: Draft, review, and negotiate a wide range of complex agreements, including partnership arrangements, SaaS and API licensing, vendor contracts, joint ventures, M&A transactions, and token-related frameworks, ensuring business goals advance while safeguarding the company’s interests.

  • Risk Management: Develop and implement legal and compliance risk management strategies across global operations. Anticipate and address risks related to blockchain technologies, digital asset transactions, and decentralized protocols, balancing legal safeguards with operational flexibility.

  • Corporate Governance & Equity Administration: Oversee corporate governance policies and provide guidance on equity-related matters, including cap table management, employee stock plans, and legal compliance for equity issuance and grants, ensuring both legal precision and practical alignment with business needs.

  • Litigation Management: Manage and coordinate any litigation, disputes, or legal claims involving the company, focusing on minimizing potential liabilities while maintaining a practical, business-oriented approach.

  • Data Privacy & Security: Provide guidance on data privacy laws, GDPR, and cybersecurity concerns, offering solutions that balance legal requirements with the operational realities of decentralized networks.

  • Stakeholder Collaboration: Collaborate closely with finance, HR, and compliance teams on equity administration, and with product development to anticipate and solve complex legal issues. Help bridge the gap between technical innovation and legal constraints with business-minded solutions.

  • External Representation: Represent the company in legal proceedings, with regulatory authorities, and in negotiations with external parties, always seeking to align legal strategy with the company’s broader business objectives.

Role Requirements

  • Proven ability to balance deep legal expertise with pragmatic, business-focused solutions.

  • 10+ years of legal experience, ideally with a strong background in technology, blockchain, cryptocurrency, or fintech.

  • Significant experience negotiating and managing complex commercial contracts with large institutional counterparties.

  • In-depth understanding of blockchain technology and its legal and regulatory implications.
    Hands-on experience with equity administration, including stock options, RSUs, and employee ownership structures.

  • Track record of thriving in fast-paced, high-growth, or technology-driven environments.

  • Familiarity with regulatory frameworks relevant to blockchain, including FinCEN, SEC, CFTC, and global regulatory authorities.

  • Strong negotiation and contract drafting skills.
    Exceptional communication abilities, with the capacity to explain complex legal concepts to non-legal stakeholders.

  • Expertise in developing and implementing risk management strategies that safeguard the company while enabling business flexibility.

  • Strong business acumen and strategic problem-solving skills.

Nice-to-Have Skills

  • Experience with securities law, including the legal implications of token offerings and equity grants.
