Role Description

As a Legal Counsel at CapsLock, you will play a crucial role in contributing to the company's growth by handling vendor/client contracts, investment agreements, KYC processes, and other legal matters. This position will require regular exposure to the legal frameworks of Canada, the USA, the UAE, and the EU. Your experience in legal support, investment activities, risk analysis, and compliance with applicable laws will be essential in ensuring CapsLock's legal standing.


Responsibilities

  • Contracts support 
  • Draft, review, and facilitate vendor and client contracts, ensuring legal compliance and risk mitigation
  • Draft employment contracts
  • Handle employment-related legal matters
  • Review and analyze investment agreements highlighting potential legal risks
  • Legal administration
  • Administration of KYC, AML checks on requests of Investment funds, Banks, vendors, clients, governments, or other 3rd parties
  • Fill out Subscription packages for new investments
  • Initiate/Support Cease&Desist requests
  • Support internal departments on legal matters impacting business operations
  • Corporate Compliance
  • Collaborate with the external legal teams/consultancies to ensure consistency and compliance with applicable laws, and regulations for a group of companies (UAE, Canada corporate law)
  • Actively participate in corporate structuring/restructuring if needed
  • Conduct risk analysis of corporate actions/changes and provide proactive legal advice to mitigate potential legal issues


Requirements
  • Bachelor's degree in Law; Additional certifications or specializations are a plus
  • Minimum of 3 years of proven experience in a legal counsel role, preferably in a corporate setting
  • Expertise in contract law, and risk analysis
  • Professional familiarity with KYC and AML processes
  • Strong analytical and problem-solving skills
  • Excellent written and verbal communication skills.
  • Fluent English
  • Ability to work collaboratively with a diverse, remote global team
  • Legal experience in the digital marketing industry is a plus
