Corporate Secretarial Service Coordinator
Camana Bay
Monday to Friday 8:30 a.m. to 4:30 p.m.
Temporary Contract

This team will work closely with the business by providing oversight and provision of full company secretarial services and corporate governance, including overseeing and managing board and shareholder meetings and undertaking corporate governance reviews. This position will also be required to assist with the management and development of the Company's company secretarial services with the aim of enhancing the Company's competitive position and achieving its strategic objectives. The position will also be required to assist with the mentoring and training of Board Support Coordinators with the aim of increasing the capacity of the team. Also, assisting with ensuring the company's governance framework aligns with best practices, regulatory requirements, and the organization's objectives.

Corporate Secretarial Service Coordinator

This team will work closely with the business by providing oversight and provision of full company secretarial services and corporate governance, including overseeing and managing board and shareholder meetings and undertaking corporate governance reviews. This position will also be required to assist with the management and development of the Company's company secretarial services with the aim of enhancing the Company's competitive position and achieving its strategic objectives. The position will also be required to assist with the mentoring and training of Board Support Coordinators with the aim of increasing the capacity of the team. Also, assisting with ensuring the company's governance framework aligns with best practices, regulatory requirements, and the organization's objectives.
Some of the things you'll be doing:
- Board Meetings: assist with preparation of agendas, collation and circulation of board papers, attend meetings, take minutes, draft resolutions, provide follow-up;
- Shareholders Meetings: issue notice of meetings, collate signed proxy forms, prepare minutes and scripts, complete filings;
- Corporate Governance Reviews: review existing agendas, frequency of meetings, information provided to the board, develop and benchmark against best practices;
- Lead the creation of performance indicators for each team member and monitor their performance against goals;
- Assess current and future staffing needs based on organisational goals and budget realities;
- Assist with building and maintaining a high-performance team through effective performance management, communication, and coaching of staff. Promote quality through effective use of the organisation's performance management system;
- Assist with the establishment of training for the company secretarial team on the various structures, systems, and identify knowledge deficits;
- Identify opportunities to grow and expand the business;
- Provide quotes for company secretarial proposals and liaise with clients and internal directors to win more business for the team;
- Develop and maintain effective strategic relationships with key stakeholders, including clients, regulatory bodies, financial institutions, attorneys and other offices;
- Assist with monitoring corporate governance policies and procedures
- Initiate and lead/assist with ad hoc projects as necessary
What technical skills, experience, and qualifications do you need?
- University Degree plus a legal or ICSA qualification
- Minimum 5 years' experience in a similar role in the Funds industry with at least one year in Management capacity
- Strong leadership skills
- Understanding of Corporate Governance and having relevant local regulations and best practices
- Knowledge of the Cayman Islands investment funds industry, will be an advantage
- Working knowledge of Cayman Islands regulatory governance regime is essential
- Experience in managing all facets of a chartered secretary/board support role, including but not limited to attendance at meetings, minute taking, liaison with Directors, clients and third parties, transcribing and summarising data
- Previous minute taking experience is essential and ability to prepare such minutes in a timely manner.
- Creating agendas, collation and distribution of meeting packs and liaising with relevant service providers
- Ability to work efficiently to meet tight
- Experience in effectively working as part of a team
- Working proficiency with CORIS, CAP, REEFs, ViewPoint and the Microsoft Office Suite of applications
