Advise product teams on design, licensing, compliance (AML/KYC, sanctions), marketing/promotions, and cross-jurisdiction regulatory risks. The Legal Counsel will draft, negotiate, and manage commercial agreements while providing legal support across various teams. Responsibilities include monitoring litigation and adhering to payment services regulations.

Provide legal support for construction bids and projects, draft/review/negotiate CCDC, Design-Build, EPC, subcontract and consultant agreements; advise project teams daily; manage construction disputes and direct external counsel; liaise with clients, partners and subcontractors; contribute to in-house corporate/commercial legal operations.

Provide hands-on legal and regulatory advice across crypto, payments, securities and AML; partner with product, compliance and leadership to launch products, lead regulatory initiatives, draft commercial agreements, and improve legal processes using AI and automation.

As the first in-house legal counsel, you will manage legal frameworks, corporate governance, compliance, contract management, regulatory matters, and risk mitigation while advising the executive team.

Act as a bilingual legal-technology expert architecting AI-powered contract solutions and drafting CLM redlining rules (80%). Serve as legal tech SME in client meetings, test and improve AI legal tools, train global teams, and handle in-house client/supplier contracts, compliance, and corporate governance (20%).

Serve as legal domain expert bridging clients and internal engineering to define negotiation playbooks, translate legal rules into prompts/specs, validate AI outputs, lead UAT, and guide integration of GenAI and CLM contract tools for complex commercial negotiation workflows.

Provide strategic legal counsel to Vitera leadership on commercial, product, technology, and regulatory matters. Draft, review, and negotiate complex commercial, SaaS, data-sharing, and vendor agreements. Structure partnerships across the defined contribution ecosystem, mitigate legal and regulatory risk, support product and operations implementation, coordinate with outside counsel (including ERISA specialists), and contribute to governance, policy, and communications review.

Provide legal support for portfolio acquisitions: due diligence, drafting and negotiating purchase agreements and ancillary documents, assess transaction risks, manage legal intake, and advise on compliance.

Provide in-house product and IP legal counsel across patent prosecution, IP portfolio management, brand protection, open-source licensing, and product launch readiness. Support invention harvesting, draft and review IP-related commercial contract clauses, assist with AI governance and trade compliance, conduct legal research and diligence, and collaborate cross-functionally with engineering, product, privacy, and commercial teams.

Legal Counsel will develop compliance frameworks, offer legal advice, and manage contracts to ensure regulatory adherence and improve departmental efficiencies.
